LES NOMS DE SOCIÉTÉS ET LEUR TRADUCTION

1 - APPELLATIONS COMPLÈTES

On peut distinguer les noms de sociétés (company names ou business names) en fonction du terme qui, faisant suite à la raison ou dénomination sociale (corporate name ou tradename), désigne la nature juridique de la société, à savoir Incorporated, Corporation, Limited, and Company, Company, et les abréviations correspondantes (Inc., Corp., Ltd., & Co. et Co.).

N.B. : Les abréviations Inc., Corp., Ltd., & Co. et Co. s'énoncent comme le mot d'origine non abrégé.

A/ NOMS DE SOCIÉTÉS EN Incorporated ou Inc. (États-Unis)

Dans ces appellations, Incorporated ou Inc. signifie « constitué en société commerciale », « constitué en société par actions ».

Exemple avec Incorporated: - Encode Incorporated : la société Encode

Exemple avec Inc. : - Adobe Systems Inc. : la société Adobe Systems

N.B. : La raison sociale est parfois séparée de Inc. par une virgule : - Swiss Precision Instruments, Inc.

B/ NOMS DE SOCIÉTÉS EN Corporation ou Corp. (États-Unis)

Dans ces appellations, Corporation ou Corp. désigne une société par actions.

Exemple avec Corporation : - Intel Corporation : la société Intel

Exemple avec Corp. : - Microsoft Corp. : la société Microsoft

C/ NOMS DE SOCIÉTÉS EN Limited ou Ltd. (Grande-Bretagne)

Dans ces appellations, Limited ou Ltd. est l'abréviation de Limited Liability, « à responsabilité limitée ». On distingue the private limited company (équivalent français : la société à responsabilité limitée ou S.A.R.L.) et the public limited company (abrév. : Plc) (équivalent français : la société anonyme ou S.A.).

Exemple avec Limited : - Matrox Electronics Systems Limited : la S.A.R.L. Matrox Electronics Systems

Exemple avec Ltd. : - Laminated Products Ltd. : la S.A.R.L. Laminated Products

Exemple avec Plc : - Protimeter Plc : la S.A. Protimeter

D/ NOMS DE SOCIÉTÉS EN and Company ou & Co.

Dans ces appellations, and Company ou & Co. (« et Compagnie » ou « & Cie. ») désigne les associés non nommés (unnamed partners) d'une société de personnes (partnership) : - Arthur Andersen & Co. : Arthur Andersen & Cie.

E/ NOMS DE SOCIÉTÉS EN Company ou Co.

Dans ces appellations, Company ou Co. désigne une compagnie, une société.

Exemple avec Company : - Ingersoll-Rand Company : la compagnie Ingersoll-Rand

Exemple avec Co. : - Roman Engineering Co. : la Cie Roman Engineering

2 - APPELLATIONS RÉDUITES

Dans la pratique, les appellations complètes ne sont guère employées. Elles cèdent la place à des appellations soit réduites à la seule raison sociale, soit transformées en sigles, quand elles ne sont pas remplacées, du moins pour certaines compagnies très connues, par un surnom familier.

A/ NOMS DE SOCIÉTÉS RÉDUITS À LA SEULE RAISON SOCIALE

Les termes Incorporated, Corporation, Limited, and Company, Company, Public limited company, etc., et leurs abréviations (Inc., Corp., Ltd., & Co, Co., Plc, etc.) sont souvent omis dans l'intitulé des noms de sociétés cités dans les articles de la presse technique ou industrielle : - Micro Management Solutions (à la place de Micro Management Solutions, Inc.) - Composite Technologies (à la place de Composite Technologies Corp.) - Metrode Products (à la place de Metrode Products Ltd.) - Meyer Gage (à la place de Meyer Gage Co.) - Beaver Engineering Group (à la place de Beaver Engineering Group Plc)

La raison sociale se retrouve alors limitée à un ensemble de termes dont celui ou ceux de droite fournissent généralement une indication sur les activités ou les productions de la société en question.

1/ Le terme ou les termes de droite sont au pluriel : - Dresser Industries – industries : industries - Morgan-Denver Sales – sales : ventes - Texas Instruments – instruments : instruments, appareils - Daco Jaws – jaws : mors de serrage - Artapp Bending Machines – bending machines : machines à cintrer - Traub Automatics – automatics : machines automatiques

2/ Le terme ou les termes de droite sont au singulier : - Techware Computing – computing : (l')informatique - Techleader Tooling – tooling : outillage - J & L Metrology – metrology : métrologie - Merit Machinery – machinery : machines - Stephen Computer – computer : ordinateur - Ford Motor – motor : moteur - Dayton Machine Tool – machine tool : machine-outil

3/ Le terme de droite est un adjectif : - Westinghouse Electric – electric : électrique - Dow Chemical – chemical : chimique - Valcor Scientific – scientific : scientifique

Dans certains cas, l'élément de droite de la raison sociale peut lui aussi être omis, surtout lorsque la société en question est très connue : - Apple (à la place de Apple Computer Inc., initialement abrégé en Apple Computer) - SECO/WARWICK (à la place de SECO/WARWICK Corporation)

N.B. : La raison sociale est parfois dépourvue de nom propre (patronyme, toponyme, etc.) et se limite à l'indication du secteur d'activité ou du produit fabriqué : - Integrated Systems Co. (litt., « systèmes intégrés ») - Control Techniques Plc (litt., « techniques de commande »)

B/ NOMS DE SOCIÉTÉS RÉDUITS À L'ÉTAT DE SIGLES

L'intitulé de la raison sociale de certaines sociétés se prête à la confection de sigles (dont les composants s'énoncent individuellement) : - General Motors Corp. donne General Motors puis GM (pron. « gee emm ») - Digital Equipment Corporation donne DEC (pron. : « dee ee cee »)

C/ APPELLATIONS FAMILIÈRES

Certaines très grandes compagnies bénéficient de surnoms : - IBM : « Big Blue » - the seven sisters : les sept sœurs (les sept plus grosses sociétés pétrolières au monde)

D/ LOGOS

Toute entreprise qui se respecte possède son logo – en anglais corporate logo –, symbole distinctif formé de signes graphiques apposé sur ses produits, sa littérature, sa publicité, etc. : - Mercury's logo : le logo de (la société) Mercury

NB :logo est la troncation de logotype:

Une société peut constituer une filiale (subsidiary, abrév. subs.) ou une branche (division, abrév. div.) d'une compagnie plus importante : - Cadam Inc., a subsidiary of Lockheed Corp. : la société Cadam, filiale de la compagnie Lockheed - SHERWOOD, a division of HARSCO Corporation : SHERWOOD, branche de la compagnie HARSCO - AT&T's Data System Div. : la branche Data System de la compagnie AT&T

N.B. : La traduction de division par « division » est un anglicisme.

4 - NOMS DE SERVICES À L'INTÉRIEUR D'UNE SOCIÉTÉ

Une société comporte généralement des services ou bureaux (departments) : - the research-and-development department : le Service de recherche-développement - the design department : le Bureau d'études - the work sequencing department : le Bureau de l'ordonnancement, l'Ordonnancement - the procurement department : le Service des approvisionnements - the methods department : le Service des méthodes - the preparation department : la Préparation - the manufacturing department : la Fabrication - the testing department : le Contrôle - the quality assurance department : le Service garantie de la qualité - the test and measurement department : le Bureau d'essais et de mesures - the spare parts department : le Service des pièces détachées - the customer service department : le Service après-vente, l'Après-vente - the claims department : le Service du contentieux, le Contentieux

5 - NOMS DE SOCIÉTÉS ET NOMBRE

Le nom d'une société est d'ordinaire au singulier, même si la désignation comporte un pluriel : - Marconi Instruments has launched a new microwave spectrum analyser, the 2386 : Marconi Instruments a mis sur le marché un nouvel analyseur de spectre à micro-ondes, le 2386

Mais on trouve également le pluriel : - Kodak have recently introduced a new technology called Kodak PhotoCD : Les gens de chez Kodak viennent de sortir une nouvelle technologie baptisée Kodak PhotoCD

6 - NOMS DE SOCIÉTÉS ET CAS POSSESSIF

Le cas possessif se rencontre couramment avec un nom de société. Il se marque différemment selon que le nom de la société se termine par un singulier ou par un pluriel (cf. chap. « Le cas possessif »).

A/ LA MARQUE DU CAS POSSESSIF EST 's (nom de société terminé par un singulier) :

- Digital Research's DR-DOS 5.0 : DR-DOS 5.0 de Digital Research (on notera la redondance de cette phrase puisque DR est déjà l'abréviation de Digital Research)

B/ LA MARQUE DU CAS POSSESSIF EST ' (nom de société terminé par un pluriel) :

- British Airways' Engine Overhaul Division : la section « Inspection des moteurs » de British Airways

N.B. : Dans le cas d'un sigle, on ajoute 's même si la dernière lettre du sigle est mise pour un nom pluriel : - GM's factory in Lansing : l'usine de General Motors à Lansing

7 - LOCALISATION ET EXTENSION GÉOGRAPHIQUE D'UNE SOCIÉTÉ

A/ INDICATION DU PAYS :

- Britain's Westland : la compagnie britannique Westland / le britannique Westland - McDonnel Douglas of the US : l'avionneur américain McDonnel Douglas / l'américain McDonnel Douglas

B/ INDICATION DU SIÈGE SOCIAL - the corporate headquarters (ville et région) :

- Royaume-Uni : - Slingsby Engineering Limited (SEL) of Kirkbymoorside, North Yorkshire, UK : la S.A.R.L. Slingsby Engineering Limited (SEL), de Kirkbymoorside dans le Yorkshire du Nord, R.U. - Norwich-based Beaver : la société Beaver, sise à Norwich / ayant son siège social à Norwich

- États-Unis d'Amérique : - U.S. Data, of Richardson, Tex. : (la société) U.S. Data, de Richardson dans le Texas - Voith Transmissions Inc. is based in York, Pennsylvania : La société Voith Transmissions a son siège social à York en Pennsylvanie - Seiko Instruments USA Inc. is headquartered in Torrance, California : La société Seiko Instruments USA a son quartier général à Torrance en Californie

C/ INDICATION DE LA SITUATION DE FILIALE À L'ÉTRANGER :

D/ INDICATION DU CARACTÈRE INTERNATIONAL :
