The equity interests set forth in Section 3.04 of the Disclosure Schedule constitute all the issued and outstanding equity interests in the Subsidiaries and are owned of record and beneficially, directly or indirectly, solely by the Company and/or the Sister Companies, free and clear of all Encumbrances.
Except for the transactions contemplated by this Agreement, there are no outstanding contractual obligations of the Company or the Sister Companies to repurchase, redeem or otherwise acquire any Pershing Shares or, except in connection with the financing of customer positions in the ordinary course of business, to provide funds to, or make any investment (in the form of a loan, capital contribution or otherwise) in, any other Person.
Except for the transactions contemplated by this Agreement, there are no options, warrants, convertible securities or other rights, agreements, arrangements or commitments of any character relating to the capital stock of the Company and the Sister Companies or obligating the Seller or the Company and the Sister Companies to issue, transfer or sell any Pershing Shares, shares of capital stock of, or any other interest in, the Company and the Sister Companies.
Subject to Section 3.03(b) with respect to the Company, the Pershing Shares constitute all the issued and outstanding capital stock of the Company and the Sister Companies and are owned of record and beneficially, directly or indirectly, solely by the Seller, free and clear of all Encumbrances.
Pursuant to the terms of the Loan Agreement, the Owner and the Sister Companies are required to enter into an assignment of Earnings and an assignment of Insurances pursuant to which the Owner assigns the Earnings and the Insurances in respect of the Ship and the Sister Companies assign the Earnings and the Insurances in respect of the ships owned by each of them to the Mortgagee by way of security for the Owner’s and the Sister Companies obligations under the Continuing Shipowning Companies’ Guarantee.
The transfer of the equity interests of the LPC Stockholders in the Sister Companies, or the benefits thereof, to LPC will not conflict with or result in a default under any agreement, contract or commitment of the Sister Companies and the transfer of the capital stock of the Sister Companies, or the benefits thereof, to LPC will not conflict with or result in a default under any agreement, contract or commitment of the Sister Companies.
Except as provided in SCHEDULE 3.8 AND SECTION 6.8(E) hereof, no options, warrants or other rights to purchase or otherwise acquire the equity interests of any of the LPC Stockholders in the Sister Companies exists.
Notwithstanding the foregoing, Purchaser, the Company and any CHEC Sister Companies shall in any event indemnify Parent and its Affiliates for all payments Parent and its Affiliates make related to the bonds identified on Exhibit B (or any additional bonds related to the Company to which Seller consents) after the Closing Date under all such indemnity agreements.
